  2. Terms of service
Terms of service

The terms that govern this website and how we work.

Plain English where we can manage it, precise where it matters. These terms cover your use of datatruffle.ai and the services we describe on it. A signed engagement letter governs an actual engagement and controls where the two differ.

Last updated: November 5, 2026

1. These terms

"Data Truffle", "we", "us", and "our" mean Data Truffle, Inc., which operates datatruffle.ai. "You" means the person using the site and, where you act for a company, that company too. By using the site, submitting a form, booking a call, or emailing us, you agree to these terms and to our privacy policy. If you do not agree, please do not use the site. If you use the site for a company, you confirm you are authorized to accept these terms for it.

2. What we do

Data Truffle is a seller-side agent. We help established companies ("sellers") understand what their operational records may be worth, build a metadata-only manifest describing those records, benchmark the manifest against current demand from AI training buyers ("buyers"), run a competitive process among vetted buyers, and negotiate on the seller's behalf. We are paid by the seller, only when a license closes and the seller is paid.

We act only as an agent and intermediary. We are not a buyer of data, not a marketplace, not a party to any license between a seller and a buyer, and not anyone's lawyer, accountant, fiduciary, broker-dealer, or financial adviser. We do not receive, store, host, or transmit a seller's underlying business records. Where a license is signed, the seller delivers records directly to the buyer under that license.

Each seller decides whether to proceed, which buyers to approve, and which terms to accept. Each buyer decides whether to make an offer and on what terms.

3. Information, not advice

The site, its guides, estimator, glossary, FAQ, blog, and anything we say in a call or an email are general information. They are not legal, tax, financial, valuation, privacy, regulatory, or compliance advice. Descriptions of buyers, criteria, examples, ranges, timelines, and outcomes are illustrative. Get advice from a qualified professional before making decisions about your business or your data, and have your own counsel review any agreement before records move.

4. No guarantee of an offer, a price, or a payment

Submitting a form, building a manifest, or signing an engagement letter does not guarantee that a company will be presented to any buyer, receive an offer, reach a signed license, or be paid. A first offer within 24 to 48 hours of a complete manifest is a process target, not a promise; buyers decide eligibility, price, and terms. Indicative ranges shown on this site, in the estimator, or in conversation are illustrative and are not offers or quotes. Payment depends on a signed license between the seller and the buyer and on the buyer actually paying; we are not responsible if a buyer delays, reduces, withholds, or fails to pay.

5. How we are paid

We charge no upfront fee, retainer, listing fee, or preparation fee. We earn a seller-side success fee only when a license we helped arrange closes and the seller is paid, calculated on the amount actually received by the seller under the published schedule on our pricing page and set out in the seller's signed engagement letter. The engagement letter is non-exclusive. The fees that apply to a seller are those in its signed engagement letter; if the letter and this site differ, the letter controls.

We do not take origination, referral, or finder's fees from buyers on a seller's transaction. If that ever changes for any transaction, we will disclose it in writing to the seller before the seller decides anything.

6. Your authority and your rights in the data

If you submit information about a company, you represent that you are authorized to do so. If you are a seller, you represent that, for any records you describe or later license: (a) your company owns them or has the rights needed to describe, offer, and license them; (b) you have obtained and will maintain every notice, consent, and authorization required by law or contract, including from employees, customers, and callers whose information appears in them; (c) licensing them will not breach any contract, confidentiality duty, professional obligation, court order, or law that applies to you; and (d) the information you give us about your records, systems, headcount, and history is accurate.

Do not send us business records, exports, files, logins, or personal information about your customers or employees. The site's forms are not built to receive them, we do not need them to price your data, and we will delete anything of that kind that reaches us.

7. Your compliance responsibilities

The seller remains solely responsible for its own legal and regulatory compliance in connection with its records, including obligations under health privacy law, attorney-client privilege and professional confidentiality rules, financial privacy law, call-recording and consent law, employment law, consumer privacy law, export controls, and the terms of its own customer, vendor, and software agreements. The seller is responsible for deciding what to exclude and for de-identifying records before delivery to a buyer, as the law and the license require. We may share general guidance on what buyers typically accept or exclude; that guidance is not legal advice and shifts none of these responsibilities to us.

8. Evaluation, buyers, and introductions

We decide in our own judgment which companies to represent and which buyers to work with, and we may decline or stop working with any company or buyer at any time. We present a company to buyers first as an anonymized profile. We disclose a company's identity to a buyer only with that company's approval and under confidentiality terms. Every buyer we introduce has accepted our published vetting standard; we do not guarantee any buyer's conduct, and the license between seller and buyer governs that relationship.

9. Contact from us

By giving us your contact details you agree that we may contact you by email and, if you give us a number, by phone about your request and the services described here. We do not send automated text messages or robocalls. We do not record calls without telling you first and asking. You can ask us to stop contacting you at any time by replying or emailing hello@datatruffle.ai.

10. Truthful information and confidentiality

You agree that the information you submit is accurate and not misleading, and that you will correct material inaccuracies promptly. Buyers may rely on it. Information we share with you that is not public, including buyer identities, demand, offers, and terms, is confidential; use it only for the purpose we shared it and protect it with reasonable care. A signed agreement may set more specific confidentiality terms, and if it does, those terms apply.

11. Acceptable use

Use the site lawfully and for its intended purpose. Do not interfere with its operation or security, attempt unauthorized access, scrape or harvest content or data, submit forms with bots, submit information you are not permitted to share, impersonate anyone, or use the site to mislead others.

12. Intellectual property

The site, its content, our materials, methods, and the Data Truffle name and marks belong to Data Truffle, Inc. or its licensors. You may use them only to use the site as these terms allow. If you send us feedback, we may use it without obligation to you.

13. Third-party services

The site uses and links to third-party services, including scheduling, form handling, analytics, and email. Those services are governed by their own terms and privacy policies, and we are not responsible for them.

14. Disclaimers

To the fullest extent permitted by law, the site, our materials, and our services are provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and availability. We do not warrant that the site will be uninterrupted or error-free, or that any result will be achieved.

15. Limitation of liability

To the fullest extent permitted by law, Data Truffle, Inc. and its officers, employees, and contractors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, opportunity, data, or goodwill, arising out of or related to these terms, the site, or our services. Our total liability for all claims will not exceed the greater of the fees you paid us in the twelve months before the claim arose and US$100. A signed engagement letter may set a different limit for that engagement. Nothing in these terms limits liability that cannot legally be limited.

16. Indemnity

To the fullest extent permitted by law, you agree to defend and indemnify Data Truffle, Inc. and its officers, employees, and contractors against claims, losses, and reasonable legal costs arising from your use of the site, any information or records you submit, describe, offer, or license (including any claim that you lacked the rights or consents to do so), or your breach of these terms or of any law.

17. Termination

We may suspend or end your access to the site at any time, including for a breach of these terms. You may stop using the site at any time. Sections that by their nature should survive, including those on data rights, compliance, fees under a signed engagement letter, confidentiality, disclaimers, limitation of liability, indemnity, and governing law, survive termination.

18. Governing law and disputes

These terms are governed by the laws of [State], without regard to conflict-of-law rules, subject to any mandatory law that applies to you. Before starting any formal proceeding, you agree to email us at hello@datatruffle.ai and try in good faith to resolve the dispute informally for at least 30 days. Any dispute not resolved informally will be brought in the state or federal courts located in [State], and you consent to their jurisdiction, unless applicable law requires another forum.

19. Changes

We may update these terms as the service develops. Updates are posted on this page with a new "last updated" date and apply from that date. Continued use of the site after an update means you accept it.

20. General

These terms, our privacy policy, and any signed engagement letter are the entire agreement between you and us about their subject matter. If any part is unenforceable, the rest stays in effect. Our failure to enforce a part is not a waiver. You may not assign these terms without our written consent; we may assign them as part of a merger, acquisition, or sale of assets. We are not responsible for delays caused by events outside our reasonable control.
